Once Companies House approves your application, your business is a legal entity. You’ll receive three key digital documents via email to prove your company is official.
1. Certificate of Incorporation
Think of this as your company’s birth certificate. It's the most important document you’ll have and includes:
Your Company Name
Your Unique Company Number
The Date of Incorporation
Note: You’ll need this certificate if you ever apply for a business loan, lease an office, or open other professional accounts.
2. Memorandum of Association
This is a short, historic record. It simply confirms that you (and any other founding members) agreed to form the company and take at least one share each. It's a snapshot of the moment your business was incorporated.
3. Articles of Association
This is your company’s rulebook. It sets out how the company is run, how decisions are made, and the powers of the directors. Most Countingup users use the "Model Articles" (the standard UK version), which we provide automatically.
